Job Description and Person Specification
Location: Muscat, Oman (some local, regional and international travel may be required)
Hours: Full Time. Hours as necessary for the role.
Responsible To: Vice Chancellor
Purpose of the job:
Working directly with the Vice Chancellor, the post holder will ensure that the University complies with all standard legal practice ensuring highest levels of corporate governance. The post holder will also be the Secretary to the Governance Boards in the University.
Detailed Description:
Supervising the Annual General Assembly Meeting (AGM).
- Submit the request for the meeting to the Ministry of Commerce for approval.
- Drafting the invitation to the meeting for shareholders with the Board of Directors' report and financial report attached.
- Attend the meeting as a legal advisor and respond to shareholders' legal enquires according to the Commercial Companies Law.
- Writing the minutes of the meeting and approving it from the Ministry of Commerce.
- Receive, review, and approve nomination forms for the Board of Directors.
Secretariat of the Board of Directors and Board of Trustees.
- Coordinate and prepare materials for board meetings. This involves gathering reports, presentations, and other relevant documents, distributing them to board members in advance, and ensuring all necessary information is available for discussion.
- Working with the Chairman and Vice-Chancellor to develop the agenda for board meetings.
- Record accurate minutes of board meetings, including decisions made, actions agreed upon, and any discussions or deliberations.
- Ensure that the board operates in accordance with relevant legal and regulatory requirements, as well as the MU's regulations and corporate governance policies.
Legal review.
Reviewing contracts and agreements entered by the MU to identify potential legal risks, ensure compliance with relevant laws and regulations, and protect the MU's rights and interests. This includes analyzing terms and conditions, identifying any discrepancies or ambiguities, and proposing revisions or amendments as necessary.
Legal Opinion.
providing written or oral advice on legal matters to MU. These opinions are based on thorough legal research, analysis of relevant laws, regulations, and precedents, and consideration of the specific facts and circumstances of the situation at hand. Legal opinions serve to inform MU about their rights, obligations, risks, and potential legal consequences.
Main skills and experience required:
- Reasonable knowledge of accounting and finance as well as business and management.
- At least 2 years working in legal department. Experience of working in education sector is desirable.
- Excellent verbal and written communication skills in both English and Arabic is a must.

Education, Qualifications and Training
- BSc Law from a reputable higher education institution.
